These terms explain how our website, inquiries, quotations, samples, custom development and commercial orders are handled.

Website information is general guidance. Final specifications, pricing, payment, delivery and warranty terms are confirmed in the applicable quotation, pro forma invoice, sales contract or order confirmation.

Acceptance of these terms
By accessing this website, submitting an inquiry, requesting a sample or placing an order with Zenghao Material Technology (“Zenghao,” “we,” “us” or “our”), you agree to these Terms of Service. If you act for a company or other organization, you confirm that you are authorized to accept these terms on its behalf.
If a signed sales contract, quotation, pro forma invoice or order confirmation contains terms that differ from this page, the terms in that transaction document will control for that order.

Website use
You may use this website for legitimate business research, product evaluation and communication with our team. You may not interfere with the website, attempt unauthorized access, introduce malicious code, scrape the website at unreasonable scale or use its content in a misleading or unlawful manner.
You are responsible for ensuring that information submitted through our forms is accurate and that you have permission to share it.

Product information and selection
Product descriptions, technical ranges, photographs, application examples and other website content are provided for general reference. Actual performance may vary with substrate, surface preparation, pressure, temperature, dwell time, environment, storage and production conditions.
Recommendations from our team are based on the information you provide. You remain responsible for confirming that the selected product is suitable for your application, process, regulatory requirements and end use through appropriate testing and validation.

Quotations and order acceptance
Unless stated otherwise, quotations are invitations to place an order and remain valid only for the period shown. Pricing may depend on specifications, dimensions, quantities, packaging, raw-material costs, exchange rates, freight and delivery terms.
An order becomes binding when we issue written acceptance, an order confirmation or a pro forma invoice accepted by both parties. We may decline or request changes to an order if specifications are incomplete, materials are unavailable, compliance concerns arise or production requirements cannot reasonably be met.

Samples, customization and tooling
Samples are supplied for evaluation and may differ from later production because of scale, materials, tolerances or process conditions. Approval of a sample confirms the agreed reference but does not replace validation under your actual production and end-use conditions.
Custom formulations, dimensions, die-cut parts, printed liners, packaging and other non-standard work may require minimum quantities, development charges or tooling costs. Unless otherwise agreed in writing, custom products cannot be cancelled or returned after materials have been committed or production has started.

Payment terms
Prices, currency, deposit requirements, payment milestones, bank details and applicable taxes will be stated in the relevant quotation, invoice or sales contract. Payments must be made using the agreed method and without unauthorized deductions or set-offs.
We may pause material purchasing, production or shipment if payment is late or if reasonable concerns arise regarding payment security. Bank charges outside our receiving bank are the buyer’s responsibility unless otherwise agreed.

Shipping, delivery and risk
Estimated production and delivery dates are provided in good faith but are not guaranteed unless expressly confirmed in writing. Delivery may be affected by material availability, testing, carrier schedules, customs, weather and events outside our reasonable control.
The applicable Incoterm, delivery point, freight responsibility, transfer of risk and title will be stated in the transaction documents. The buyer is responsible for import licenses, customs clearance, duties, taxes and local compliance unless the agreed Incoterm expressly provides otherwise.

Inspection, shortages and claims
Please inspect shipments promptly after receipt. Visible damage, shortages or specification concerns should be reported in writing within the period stated in the applicable order documents, together with the batch number, photographs, quantity affected and a clear description of the issue.
Products must be stored and handled according to the agreed conditions while a claim is reviewed. Do not return, destroy, rework or deduct the value of disputed products without our written authorization.

Limited product warranty
We warrant that products will materially conform to the mutually agreed written specifications at the time of delivery, subject to stated tolerances and proper storage, handling and use. Unless expressly agreed in writing, we do not warrant fitness for a particular application or compatibility with every substrate, process or end product.
For a valid warranty claim, our obligation will be limited, at our option, to replacing the affected products, reworking them where practical or refunding the purchase price paid for the affected quantity.

Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, punitive or consequential losses, including lost profit, lost production, loss of goodwill or business interruption, arising from the website or a transaction.
Our aggregate liability relating to a product claim will not exceed the amount paid for the specific products giving rise to that claim. Nothing in these terms excludes liability that cannot legally be limited or excluded.

Intellectual property and confidential information
Website text, graphics, product photographs, branding and original technical materials belong to Zenghao or their respective owners and may not be reproduced for commercial use without permission.
Each party retains ownership of its pre-existing intellectual property. Ownership and permitted use of custom tooling, drawings, formulations, artwork or jointly developed materials will be determined by the applicable written agreement. Both parties should protect confidential technical and commercial information using reasonable care.

Compliance and lawful use
Each party is responsible for complying with laws applicable to its activities, including import, export, sanctions, anti-bribery, product safety and environmental requirements. You may not purchase or use our products for unlawful purposes or prohibited destinations.
Certificates, declarations and test reports apply only to the products, batches, constructions and conditions identified in those documents.

General terms
Force majeure. Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, government action, transport disruption, labor disputes, power failure, epidemic, conflict or material shortages.
Third-party services. Links, carriers, payment providers and other third-party services are governed by their own terms. We are not responsible for third-party websites or services outside our control.
Severability. If any provision is found unenforceable, the remaining provisions will continue in effect.
No waiver. A delay in enforcing a right does not waive that right.
Governing terms. The governing law and dispute-resolution method for a commercial order will be specified in the applicable quotation, sales contract or order confirmation. If none is specified, the parties will first attempt to resolve the matter through good-faith negotiation.
Updates. We may update these Terms of Service from time to time. The effective date at the top of this page identifies the current version.
